Try this 2 pass encode with mpeg4 codec, maybe play with the resolution too

ffmpeg -i (Input) -s 320x240 -vcodec mpeg4 -b 650k -r 25.00 -acodec 
libfaac -ab 96k -sameq -pass 1 (second pass 2) (output.mp4)
